Pandas are friendly mobs too, so they can't despawn either.

Pandas need light to spawn. So only during the day (unless you light everything up). In addition, they only spawn on uncovered blocks of grass. Most often they spawn in Bamboo Jungle, where there are so many bamboo poles growing.
